Terms of Service

1. Acceptance of terms

By accessing or using any Elio AI LLC (“Elio”) product or service — including this website and the Elio Intelligence Suite — you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

Elio provides a model-agnostic AI platform for revenue teams, including tools for sales intelligence, email drafting, ad copy generation, pipeline forecasting, and related capabilities. Services are provided on a subscription or project basis as agreed in a separate order form or statement of work.

3. Acceptable use

You agree not to:

• —Use the platform to generate illegal, harmful, deceptive, or harassing content.
• —Attempt to reverse-engineer, scrape, or extract proprietary models or data.
• —Share account credentials or resell access without written authorization.
• —Circumvent rate limits, security measures, or access controls.
• —Use the service in violation of applicable laws or third-party rights.

4. AI-generated content

Outputs generated by the Elio platform are produced by third-party AI models (including OpenAI, Anthropic, Google, xAI, and Meta). Elio does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content. You are solely responsible for reviewing, validating, and using any AI output before acting on it. Do not rely on AI outputs for legal, medical, financial, or other professional advice without independent verification.

5. Intellectual property

The Elio platform, its design, code, and branding are the intellectual property of Elio AI LLC. You retain ownership of content you input into the platform. AI-generated outputs produced using your inputs are owned by you, subject to the terms of the underlying AI provider. White-label deployments transfer source code ownership as specified in the applicable agreement.

6. Payment and billing

Fees for platform access and custom development are as agreed in your order form or statement of work. All fees are non-refundable unless otherwise stated in writing. Elio reserves the right to suspend access for non-payment after reasonable notice.

7. Limitation of liability

To the maximum extent permitted by law, Elio AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including lost revenue, lost data, or business interruption. Our total liability for any claim shall not exceed the fees paid by you in the three months preceding the claim.

8. Disclaimer of warranties

The Elio platform is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

9. Termination

Either party may terminate access to the platform with 30 days written notice. Elio may terminate immediately for material breach of these terms, including violations of the acceptable use policy. Upon termination, your right to access the platform ceases and we will provide a reasonable period to export your data.

10. Governing law

These terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Denver, Colorado.

11. Changes to terms

We may update these terms from time to time. Material changes will be communicated with at least 14 days notice via email or platform notification. Continued use after the effective date constitutes acceptance of the updated terms.
